End User Licence Agreement

This End User Licence Agreement ("EULA") is a legal agreement between you and sideBar Labs Limited, a company registered in England and Wales under company number 17137829 ("sideBar", "we", "us", "our"), for the sideBar application for iPhone, iPad, and Mac, including any updates, and any content or services made available through it (the "App").

This EULA applies in addition to our Terms of Service and Privacy Policy. If there is a conflict between this EULA and the Terms of Service, this EULA applies to your use of the App on Apple platforms only, and the Terms of Service apply to everything else.

By downloading, installing, or using the App you agree to this EULA. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old to download, install, or use the App. By using the App you confirm that you are 18 or older.

2. Licence grant

Subject to your compliance with this EULA and with Apple's Licensed Application End User Licence Agreement, sideBar grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions.

The App is licensed to you, not sold. sideBar and its licensors keep all rights in the App that are not expressly granted to you in this EULA.

3. Restrictions

You agree that you will not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent this restriction is prohibited by applicable law
  • Rent, lease, lend, sell, sublicense, or redistribute the App
  • Remove, obscure, or alter any proprietary notices in the App
  • Use the App to build a competing product, benchmark it without our consent, or train another AI system
  • Use the App in a way that breaks our Terms of Service, Apple's terms, or any applicable law

4. Subscriptions and in-app purchases

The App offers subscription plans (currently Plus, Pro, and BYOK) sold through Apple's In-App Purchase system. Subscriptions renew automatically through your Apple ID unless you cancel at least 24 hours before the end of the current period. You can manage or cancel your subscription in your Apple account settings.

Prices, billing periods, and features for each plan are shown in the App before purchase. Refunds for Apple subscriptions are handled by Apple under its standard refund policy.

5. AI features and disclaimer

The App uses third-party AI models (currently from Anthropic, OpenAI, and Google). AI output can be inaccurate, incomplete, biased, or unsuitable for your situation. It must not be treated as legal, medical, financial, or other professional advice.

You are responsible for reviewing AI output before you rely on it, share it, or act on it, and for any tools, actions, or integrations you let the App trigger on your behalf.

6. Your content and privacy

The App processes content you create, upload, or sync through sideBar as described in our Privacy Policy. You keep ownership of your content. We do not use your content to train our own AI models.

7. Updates

We may release updates to the App. Updates may add, change, or remove features and may be required for the App to keep working with the latest Apple operating systems or with our backend services.

8. Termination

This EULA applies until it is terminated. It will end automatically if you fail to comply with its terms. You can also end it at any time by deleting the App and closing your sideBar account. When the EULA ends you must stop using the App and delete all copies. The sections of this EULA that by their nature should survive termination will survive.

9. Warranties and liability

To the fullest extent allowed by law, the App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will always be available, uninterrupted, secure, or error-free, or that AI output will be accurate or suitable for a particular purpose.

Our liability in connection with the App is limited as described in our Terms of Service. Nothing in this EULA excludes or limits any rights you have as a consumer under UK law that cannot lawfully be excluded or limited, or any liability that cannot lawfully be limited, such as liability for death or personal injury caused by negligence or for fraud.

10. Apple-specific terms

The following applies to your use of the App on Apple platforms, in addition to the rest of this EULA. In these terms "Apple" means Apple Inc.

  • This EULA is between you and sideBar only, not with Apple. Apple is not responsible for the App or its content.
  • Your licence to use the App is limited to a non-transferable licence to use the App on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions, including any Family Sharing or volume purchasing rules.
  • Apple has no obligation to provide maintenance or support services for the App. Any support for the App is provided by sideBar at [email protected].
  • Apple is not responsible for any product warranties, whether express or implied by law. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App.
  • sideBar, not Apple, is responsible for addressing any claims relating to the App or your use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
  • In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, sideBar, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
  • You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • You must comply with any applicable third-party terms of agreement when using the App.
  • Apple and Apple's subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of it.

11. Governing law

This EULA is governed by the laws of England and Wales, except to the extent the governing law is mandatorily determined by the Apple Media Services Terms and Conditions or by local consumer protection law in your country of residence.
